SPECIAL MEMBER MEETING NOTICE:
The NSC Board of Directors, Officers, and member volunteers have been evaluating proposals to lease approximately 30 acres at the far northeast corner of the Club's property to develop a solar energy facility.
The property under consideration is currently leased as farmland and generates approximately $4,800 per year in rental income. Under the Club's existing agreement with the Village, this area is not permitted for shooting activities.
After several months of research, discussion, and negotiations, our working group believes that a solar lease could provide a significant long-term financial benefit to the Club while including appropriate protections for NSC, its property, and its operations.
Because this would be a significant, long-term commitment involving Club property, the Board believes the membership should have the opportunity to review the proposal and authorize the Club to proceed.
At the Special Member Meeting, the Board and working group will present the proposed lease structure, anticipated financial benefits, minimum acceptable lease terms, important safeguards and protections, and other information members will need to make an informed decision.
Some information remains subject to confidentiality requirements imposed by prospective solar evelopers. As a result, bidders' identities and certain proprietary pricing or negotiating details may not be available for discussion with the full membership. These restrictions will not prevent us from presenting the material financial terms, minimum requirements, and protections upon which the Club's decision will be based.
The Board will ask the membership to authorize the Club's designated representatives to complete final negotiations and execute a solar lease, provided that the final agreement meets or exceeds the minimum financial terms and protections presented to the membership at the Special Member Meeting.
We encourage all members to attend, ask questions, and participate in this important decision. The Board believes that approval by a quorum of the membership is appropriate before the Club makes a long-term commitment involving a significant portion of its property.
